1. Acceptance of Terms

By accessing or using TraceLock AI's asset intelligence platform, API services, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

Our Services leverage proprietary artificial intelligence systems including NEXUS, PRISM, ATLAS, SPARK, CORTEX, and SENTINEL to provide enterprise-grade asset recovery and marketplace intelligence capabilities.

2. Service Description

TraceLock AI provides:

• Asset Intelligence Platform: Proprietary machine learning systems for tracking and recovering assets across global marketplaces
• API Access: Programmatic integration capabilities for enterprise partners and developers
• Real-time Monitoring: Continuous marketplace surveillance through our ATLAS distributed infrastructure
• Visual Recognition: Advanced computer vision matching via our PRISM system
• Alerting Services: Intelligent notifications through our SENTINEL framework

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update this information.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use or security breach.

3.3 API Credentials

API keys and authentication tokens are confidential. You must not share, publish, or expose API credentials. Compromised credentials must be rotated immediately through your account dashboard.

4. Acceptable Use

You agree to use our Services only for lawful purposes. Prohibited activities include:

• Using the Services for any illegal purpose or to facilitate illegal activity
• Attempting to reverse engineer, decompile, or extract source code from our AI models
• Circumventing rate limits, access controls, or security measures
• Submitting false or misleading asset information
• Using automated systems to overload our infrastructure
• Reselling or redistributing Services without authorisation
• Harassment, stalking, or tracking individuals without proper legal authority
• Any use that violates applicable export control or sanctions regulations

5. Intellectual Property

5.1 Our Intellectual Property

The Services, including our NEXUS, PRISM, ATLAS, SPARK, CORTEX, and SENTINEL systems, their underlying algorithms, trained models, and all related intellectual property, remain the exclusive property of TraceLock AI. Nothing in these Terms grants you any rights to our intellectual property except the limited license to use the Services.

5.2 Your Content

You retain ownership of data you submit to the Services. By submitting content, you grant us a worldwide, royalty-free license to use, process, and analyse such content to provide and improve our Services, including training and enhancing our AI models.

5.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without restriction or compensation.

6. Service Levels and Availability

We strive to maintain 99.99% platform availability. However, we do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. Enterprise customers may negotiate specific SLAs under separate agreements.

7. Fees and Payment

7.1 Pricing

Fees for Services are as specified on our pricing page or in your enterprise agreement. We reserve the right to modify pricing with 30 days' notice.

7.2 Payment Terms

Payment is due in accordance with your subscription terms. Late payments may result in service suspension. All fees are non-refundable unless otherwise specified.

7.3 Taxes

You are responsible for all applicable taxes. Stated prices exclude VAT, sales tax, or similar charges unless explicitly stated.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACELOCK AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the fees paid by you in the twelve months preceding the claim.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED RESULTS. WHILE OUR SYSTEMS ACHIEVE HIGH ACCURACY RATES, FALSE POSITIVES AND NEGATIVES MAY OCCUR. YOU SHOULD INDEPENDENTLY VERIFY ALL MATCHES BEFORE TAKING ACTION.

10. Indemnification

You agree to indemnify and hold harmless TraceLock AI and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

11. Termination

Either party may terminate this agreement with 30 days' written notice. We may immediately suspend or terminate your access for violation of these Terms. Upon termination, your right to use the Services ceases, though certain provisions (including intellectual property, limitation of liability, and indemnification) survive.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that we may seek injunctive relief in any jurisdiction.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Services after changes become effective constitutes acceptance.
